Terms Of Agreement

These Terms of Service (“Terms”) govern the use of website build and hosting services provided by VisitNDine & EZWeb Solution, LLC (“Company,” “we,” or “our”) to any client or purchaser (“Client,” “you,” or “your”). By ordering and using our services, you agree to be bound by these Terms.

1. Scope of Website Hosting and Domain

The Company will build and deliver a hosted website for the Client. The website may be published either:

  • On a subdomain of the Company’s primary domain (e.g., businessname.visitndine.com), or
  • On a custom domain provided for the Client (e.g., www.clientdomain.com
2. Compensation and Payment Terms

Annual Fee:
The Client agrees to pay the Company a fee for website build, development, and hosting services. This fee covers a 12-month term and is due in full at the start of each term.

Payment Terms:

  • Once payment is received, your project is officially booked and our creative process begins. This secures your place in our schedule and allows us to dedicate focused time, planning, and resources to your brand from day one. Every detail is crafted with intention to ensure your final website is refined, secure, and ready to make a lasting impression.

    If planning has not yet begun, you’re eligible for a full refund—minus any applicable payment processing fees—within 5 calendar days of purchase.

Maintenance:
Ongoing maintenance services—including content updates, minor adjustments, or technical support—are not included in the annual fee. These may be purchased separately through a maintenance plan or billed per request.  Only basic support is included in the web plans. (Ensure the website is reachable).

Contract Renewal:
This Agreement must be renewed at least 30 days prior to expiration to maintain hosting and related services. Renewal fees equal the initial 12-month fee unless otherwise agreed in writing. Promotional pricing does not apply to renewals; renewals will be billed at the regular rate. Failure to renew before expiration will result in a $50 reactivation fee.

3. Client Responsibilities

   The Client agrees to:

  • Provide all content, logos, images, and necessary materials in a timely manner.
  • Respond to communications and approve project milestones promptly.
4. Intellectual Property
  • Upon full payment, the Client will receive ownership of the website content in the form of a backup ZIP file.
  • The Client has full usage rights to their primary domain during the Agreement term. Ownership of the domain will transfer to the Client upon service termination and payment of all balances in full.
  • The Company retains ownership of visitndine.com and all subdomains of that domain.
5. Timeline

The Company will deliver the completed website as agreed. Delays caused by late Client input or approvals may extend the timeline.

6. Termination

This Agreement remains in effect for one (1) year from the effective date.

  • If terminated early, the Client shall compensate the Company for all work completed up to the termination date and for any non-refundable costs incurred, unless otherwise agreed in writing.
7. Limitation of Liability

The Company is not liable for any indirect, incidental, or consequential damages arising from website use or downtime. The Company’s total liability under this Agreement shall not exceed the total fees paid by the Client during the current 12-month term.

8. Portfolio Use

The Company may showcase the completed website in its portfolio and marketing materials unless the Client requests in writing that it be excluded.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas.
