Services Agreement 

 This Website Services Agreement (“Agreement”) is entered into by and between EZ Web Solution (“Service Provider”), and the Client (“Client”), effective as of the date of acceptance. This Agreement outlines the terms and conditions under which the Service Provider will deliver website development, hosting, and related services to the Client. 

Scope of Services 

Effective Date: 9/19/2025

These Terms of Service (“Terms”) govern the use of website development, hosting, and related services (“Services”) provided by  EZ Web Solution (“Company,” “we,” “us,” or “our”), to any client or purchaser (“Client,” “you,” or “your”). 

By accessing, purchasing, or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services. 

These Terms constitute a legally binding agreement between you and the Company and supersede any prior agreements or communications, whether written or oral, relating to the Services. 

To ensure enforceability, Clients may be required to affirmatively accept these Terms (e.g., by clicking “I agree”) before completing a purchase or accessing certain services. 

Website Development, Hosting and Support 

The Company provides comprehensive website services that include: 

Website Development: A design and development of websites tailored to the Client’s brand, goals, and specifications. This may include layout design, content integration, responsive formatting, and mobile optimization. 

Domain Setup: The Client’s website will be published on a custom domain owned or provided by the Client (e.g., www.clientdomain.com). The domain must be purchased or transferred under the Company’s hosting service to ensure proper configuration, support, and integration. 

Basic Support: The Company provides essential support to ensure the website remains online. This includes troubleshooting server-related issues and verifying site accessibility. 

Optional Maintenance and Technical Support: Content updates, feature enhancements, and technical support beyond basic hosting are available through a separate maintenance plan or billed per request. These services are not included in the standard hosting fee unless otherwise agreed in writing. 

The scope of services does not include third-party integrations, accessibility compliance, or legal content review unless explicitly contracted. 

Compensation and Payment Terms 

Service Fees: The Client agrees to pay the Company a fee for website development, hosting, and related services. All fees are billed annually and are due in full at the start of each service term unless otherwise agreed in writing. 

Booking and Project Start: Upon receipt of payment, the Client’s project is officially booked. This secures the Client’s place in the production schedule and initiates the planning and development process. 

Refund Policy: If planning or development has not yet begun, the Client may request a full refund within five (5) calendar days of purchase. Refunds will be issued minus any applicable payment administrative fees or any third-party services procured. 

Maintenance and Support Fees: Ongoing maintenance, content updates, and technical support beyond basic hosting are not included in the annual fee. These services may be purchased separately through a maintenance plan or billed per request. 

To avoid any disruption in service, this Agreement must be renewed at least 30 days prior to its expiration date. Renewal fees will be billed at the original annual rate unless otherwise agreed in writing. Promotional pricing does not apply to renewals. The Web Development fee is a one-time charge and is not included in renewal or ongoing service fees. 

If renewal occurs after the expiration date, a $50 reactivation fee will apply. 

Client Responsibilities 

To ensure a smooth and successful project, the Client agrees to the following responsibilities: 

Timely Communication 

  • The Client shall respond to requests for feedback, approvals, and information in a timely manner. Delays in communication may impact project timelines and delivery. 

Content & Materials 

  • The Client is responsible for providing all necessary content, images, branding assets, and other materials required for the project. All materials must be owned by the Client or properly licensed for use. 

Review & Approval 

  • The Client agrees to review deliverables promptly and provide clear feedback. Final approval of work must be given before the project is considered complete. 

Payments 

  • The Client is responsible for making payments according to the agreed schedule. Late payments may result in project delays. 

Legal Compliance 

  • The Client is responsible for ensuring that all content and business practices comply with applicable laws and regulations, including privacy policies, accessibility standards, and copyright laws. 

Review, Revisions & Acceptance  

  • The Client is entitled to up to three rounds of revisions during the development phase. After the third round, the Client must either approve the final deliverable or request additional revisions at an hourly rate or under a new agreement. Final approval is required before the project is considered complete.

     

Portfolio Rights & Use 

EZ Web Solution retains the right to showcase the completed project in its portfolio, marketing materials, and promotional content unless otherwise agreed in writing. This includes screenshots, links, and brief descriptions of the work. 

Third-Party Assets 

  • Any third-party assets (e.g., stock images, fonts, plugins) used in the project remain the property of their respective owners and are subject to their licensing terms. The Client is responsible for maintaining proper licenses for continued use. 

Unauthorized Use 

  • The Client may not resell, redistribute, or replicate the delivered work outside the scope of the original agreement without written permission from EZ Web Solution.

     

Intellectual Property 

The Client affirms that any content, trademarks, logos, or other intellectual property provided for use in the project are either owned by the Client or properly licensed. The Client agrees to indemnify and hold EZ Web Solution harmless from any claims related to unauthorized use of such materials. 

Ownership of Deliverables 

  • Upon full payment, the Client will own the final website design, content, and any custom-developed assets specifically created for the project. This includes text, images, graphics, and code developed exclusively for the Client. 

Copyright & Trademark Registration 

  • EZ Web Solution does not provide legal services, including copyright or trademark registration. If the Client wishes to register any part of the deliverables, it is their responsibility to consult with a qualified legal professional. 

Licensing & Transfer of Ownership 

  • If the Client chooses to migrate the website or project to another provider, EZ Web Solution will provide the necessary files and access as outlined in the agreement. Any proprietary tools or code not covered under the original scope may require a separate licensing agreement. Ownership of custom-developed assets remains with the Client, while licensed components or proprietary tools remain the property of EZ Web Solution unless otherwise agreed.

     

Pre-Existing Code & Tools 

  • EZ Web Solution may use proprietary tools, frameworks, or pre-existing code libraries to build the project. These components remain the intellectual property of EZ Web Solution and are licensed to the Client for use within the scope of the delivered project only.

     

File & Backup Retention 

  • EZ Web Solution will retain project files and backups for 30 days following final delivery or transfer. After this period, files may be permanently deleted unless a separate maintenance or hosting agreement is in place. If no maintenance plan is selected, EZ Web Solution will provide a full backup at the time of delivery. It is the Client’s responsibility to download and securely store all deliverables within this timeframe.

     

Project Timeline 

Estimated Timeline 

  • EZ Web Solution will provide an estimated timeline for project milestones and final delivery based on the scope of work. This timeline is subject to change depending on Client responsiveness, scope adjustments, and unforeseen technical challenges. 

Client Responsibilities 

Timely feedback, content submission, and approvals from the Client are essential to maintaining the proposed timeline. Delays in communication or deliverables from the Client may result in adjusted deadlines. 

Delays & Extensions 

  • If delays occur due to Client inaction, scope changes, or external factors beyond EZ Web Solution’s control, the timeline may be extended accordingly. Any significant changes will be communicated in writing. 

Rush Requests 

  • Requests for expedited delivery may be accommodated for an additional fee, subject to availability and feasibility. 

Completion & Launch 

  • Final delivery will occur once all milestones are completed, the Client has approved the final product, and all outstanding payments have been received. Launch scheduling will be coordinated with the Client. 

Project Pausing Due to Inactivity 

  • If the Client becomes unresponsive for 14 consecutive days, the project may be paused. A notification will be sent, and the project will remain on hold until communication resumes. Extended inactivity may result in rescheduling or additional fees to resume work. 

Extended Pauses 

  • If the project remains paused for 30 days or more, EZ Web Solution reserves the right to archive the project and remove it from active scheduling. Resuming work may require a reactivation fee and a revised timeline based on current availability. 

Automatic Acceptance of Final Deliverable 

  • If the Client does not respond within 7 calendar days of receiving the final deliverable, the project will be considered accepted by default. Any post-acceptance changes will be treated as a new request and may be subject to additional fees. 

Termination 

The Client may terminate this Agreement at any time by providing written notice. In the event of termination, the Client agrees to pay for all work completed up to the termination date, including any non-refundable deposits, third party services item paid for, or fees outlined in the original agreement. 

EZ Web Solution reserves the right to terminate this Agreement if the Client breaches any terms, fails to communicate for an extended period, or becomes unresponsive for 30 days or more. Written notice will be provided prior to termination. 

Non-Refundable Fees 

  • Certain fees, such as deposits, setup charges, tools or services secure from third party, or custom development work, are non-refundable. 

After termination 

  • EZ Web Solution is not obligated to provide support, updates, or maintenance unless a new agreement is established. 

Limitation of Liability 

No Guarantee of Results 

  • EZ Web Solution does not guarantee specific outcomes, such as increased traffic, sales, or search engine rankings, unless explicitly stated in writing. Performance may vary based on numerous factors outside of EZ Web Solution’s control. 

Maximum Liability 

  • To the fullest extent permitted by law, EZ Web Solution’s total liability for any claim arising out of or relating to this Agreement shall not exceed the total amount paid by the Client for services under this Agreement in the preceding 90 days. 

Indirect Damages 

  • EZ Web Solution shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of revenue, data, profits, or business opportunities, even if advised of the possibility of such damages. 

Force Majeure 

  • Neither party shall be held liable for delays or termination caused by events beyond their reasonable control, including but not limited to natural disasters, acts of government, war, labor disputes, or internet outages. In such cases, both parties will work in good faith to resolve or reschedule the project.

     

Third-Party Services 

EZ Web Solution, LLC may integrate, utilize, or provide access to third-party services, including but not limited to: 

  • Payment processors (e.g., Stripe) 
  • Analytics platforms 
  • Hosting providers 
  • Domain registrars 
  • Plugins and APIs 

These third-party services are governed by their own terms and privacy policies. EZ Web Solution is not responsible for the content, functionality, performance, or data practices of these services. While we make reasonable efforts to ensure compatibility and reliability, we do not guarantee uninterrupted access or error-free performance of any third-party tools. 

EZ Web Solution shall not be held liable for failures, errors, or downtime caused by third-party services or environments. 

Portfolio Rights & Use 

Right to Showcase Work 

  • EZ Web Solution reserves the right to display completed projects, including screenshots, URLs, and brief descriptions, in its portfolio, marketing materials, and promotional content. This includes but is not limited to the company website, social media, presentations, and printed materials. 

Client Identity & Branding 

  • Unless otherwise agreed in writing, EZ Web Solution may reference the Client’s name, logo, and brand as part of showcasing the work. This will be done respectfully and in a manner that reflects positively on both parties. 

Governing Law and Dispute Resolution 

Any dispute, controversy, or claim arising out of or relating to this Agreement shall first be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Williamson County, Texas, and the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. 

The total liability of either party under this Agreement shall not exceed the total amount paid by the client to EZ Web Solution, LLC during the twelve (12) months preceding the event giving rise to the claim. In no event shall either party be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or use, even if advised of the possibility of such damages. 

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction in Williamson County, Texas to protect its intellectual property or confidential information. 

Data Privacy and Security 

We implement reasonable administrative, technical, and physical safeguards to protect your data from unauthorized access, disclosure, alteration, or destruction. These measures include secure data storage, access controls, and encryption protocols. 

You have the right to: 

  • Know what personal data we collect and how it is used. 
  • Request access to your personal data. 
  • Correct inaccuracies in your personal data. 
  • Request deletion of your personal data. 
  • Opt out of targeted advertising or the sale of personal data, where applicable.

Service Availability and Uptime 

EZ Web Solution, LLC strives to maintain high availability and performance of its services. While we aim for 99.9% uptime, we do not guarantee uninterrupted access and may experience occasional downtime due to maintenance, updates, or unforeseen technical issues. 

Scheduled maintenance will be communicated in advance whenever possible. Emergency maintenance may occur without prior notice if necessary to protect the integrity or security of our systems. 

We are not liable for any loss or damage resulting from service interruptions, delays, or failures beyond our reasonable control, including but not limited to acts of nature, third-party service outages, or cyberattacks. 

Client Acknowledgement and Risk Acceptance 

By using our services, the Client acknowledges and agrees that: 

  • EZ Web Solution may share limited data with third-party providers solely for the purpose of delivering or enhancing services. 
  • The Client’s use of third-party services is at their own risk and subject to the terms of those providers. 
  • EZ Web Solution is not liable for any damages or losses resulting from the use of third-party services. 
  • If the Client chooses to connect or authorize third-party services through our platform, they are responsible for managing those connections and understanding the implications of data sharing.
